This role involves drafting and negotiating executive employment agreements and managing equity incentive plans. The ideal candidate will have a strong legal background in compensation and benefits, with a proven ability to manage complex transactions and provide guidance on regulatory matters.Duties:
Draft and negotiate executive employment agreements.Develop and manage equity incentive plans, including profits interest plans.Advise clients on compensation and benefits aspects of mergers and acquisitions.Ensure compliance with relevant laws and regulations regarding executive compensation and benefits.Provide strategic counsel on employee benefit plans in both transactional and advisory capacities.Review, draft, and amend various compensation-related agreements and documents.Conduct due diligence in M&A transactions related to employee benefits and executive compensation.Requirements:
Experience in executive compensation and employee benefits law.Expertise in managing legal aspects of mergers and acquisitions.Proven ability to negotiate and draft executive employment agreements.Experience working with equity incentive plans.Strong knowledge of compliance regulations related to compensation and benefits.Education:
Juris Doctor (JD) from an accredited law school.Admission to Bar in at least one U.S. jurisdiction.Certifications:
Active Bar membership in Texas is in good standing.Skills:
Excellent drafting and negotiation skills.Strong analytical and problem-solving abilities.Ability to manage multiple transactions and tasks simultaneously.Exceptional communication and client management skills.Keen attention to detail and a proactive approach to legal challenges.Job Location:
