Represent and support organization’s business objectives via effective advocacy, legal counseling, and legal advice to all levels of the global organization on a wide variety of legal matters.Assure organization’s compliance with applicable laws, ethical standards, and integrity principles.Protect organization’s intellectual property, reputation, and other assets.Draft, review, and negotiate a wide variety of transactional, policy, training, and other documents to support the international business.Provide global support on business/legal matters – working with local legal representatives when applicable.Provide advice on executive compensation and benefits.Identify, monitor, and track areas of risk, make suggestions for managing risk, and advise management of developments and best practices.Select and manage outside counsel for transactional, regulatory, litigation, and other matters.Ensure Company policies and procedures are compliant with local, state, and federal laws.Provide legal advice, opinions, and support regarding employment and labor law issues.Mergers and Acquisitions

Working with the management team, provide guidance on strategic alliances, merger, and acquisition opportunities.Coordinate and oversee outside legal counsel handling acquisitions.Oversee and actively participate in due diligence reviews.Corporate Secretary

Oversee creation and distribution of meeting agendas and Board materials.Attend and prepare minutes of all Board meetings and annual shareholder meetings.Advise the Board by monitoring corporate governance developments.Implement administration of management stock options plans, stock issuances, and stockholder correspondence and communications.Ensure compliance with Company by-laws and corporate charters.Education and Experience

JD from an ABA accredited law school.Minimum of 10 years combined commercial/corporate experience in law firms and in-house law departments.Oversight and/or leadership with corporate compliance programs preferred.Experience managing, or subject matter proficiency, in international trade regulations including US Export Controls and global economic sanctions programs preferred.Corporate secretary and corporate governance experience, including Board of Directors experience.Intellectual property law, employment and benefits law, finance law and/or international law experience preferred.Manufacturing industry experience preferred.Other Skills and Competencies

Ability to exercise judgment, evaluate and weigh risks (risk management) and make practical decisions.General/broad knowledge of domestic and international business/commercial/corporate transactions and law.Excellent written and oral communication skills.Creativity – strategic and proactive problem-solving skills.Ability to work effectively in teams as well as independently.Objectivity and the ability to exercise independence from management.Travel Requirements:The individual must be willing to travel internationally and represent the company. Travel is estimated to be 10%.In addition to a competitive base salary ranging from $240,000 to $360,000, this position offers eligibility for both short-term and long-term incentives.Please note that the Salary Range included is a guideline.
