A law firm seeks a highly experienced Principal Attorney specializing in fund formation to join its Business Practice Group in Portland, OR. This role provides the opportunity to advise diverse business clients on complex fund-related matters across various industries, collaborating with attorneys across multiple practice areas.Duties
Lead the formation and structuring of private investment funds, including venture funds, incubators, accelerators, private equity, and crypto venture funds.Draft and negotiate essential fund documents such as limited partnership agreements, subscription agreements, and private placement memoranda.Provide strategic advice on fund structuring and ensure regulatory compliance.Offer ongoing support to fund managers and investors on fund-specific matters.Advise clients on corporate governance, fiduciary responsibilities, and potential conflicts.Assist with regulatory filings and compliance for private investment funds.Ensure adherence to federal and state securities laws.Counsel clients on SEC regulations, including the Investment Company Act and Investment Advisers Act.Oversee securities filings and reporting requirements.Draft and negotiate transactional documents for fund-related investments.Collaborate with other practice areas on multidisciplinary transactions.Support mergers, acquisitions, joint ventures, and corporate transactions involving fund clients.Engage in client development and relationship-building activities.Stay current with industry trends to provide proactive client advice.Requirements
Experience:
Minimum of 7 years in fund formation, particularly in private equity, real estate, venture capital, and other asset classes, advising on structuring, capital raising, compliance, and related legal matters.Book of Business:
A portable client base is required.Academic Credentials:
JD from an ABA-accredited law school with a strong academic record.Licensing:
Active law license.Skills:
Advanced analytical and drafting abilities, client-focused approach, and strong verbal and written communication.Project Management:
Proven ability to manage multiple responsibilities with strong organizational skills.Education
Juris Doctor (JD) from an ABA-accredited law school.Certifications
Active law license.Skills
In-depth knowledge of fund formation and regulatory compliance.Proficiency in drafting and negotiating fund-related legal documents.Strong organizational abilities for managing multiple complex projects.Effective communication skills for client advisement and negotiation.Ability to work independently or as part of a collaborative team.
