A prominent law firm in Chicago, IL, is seeking a qualified Fund Formation Associate Attorney. This role is ideal for professionals with significant experience in private equity, venture capital, and fund formation. The selected individual will have the opportunity to work on a broad spectrum of legal matters, including fund structuring, capital raising, and regulatory compliance. The position offers a collaborative environment, engaging in high-stakes projects with business leaders and legal professionals.Duties:Participate in all aspects of fund formation and structuring, including capital raising and compliance for various investment funds (private equity, real estate, mezzanine, hybrid, and hedge funds).Handle programmatic joint ventures, equity investment processes, and related capital-raising transactions.Draft and negotiate limited partnership agreements and limited liability company agreements in private investment fund contexts.Advise clients on market fund terms and identify critical issues during fund negotiations and the offering process.Review fund documents on behalf of institutional investors to ensure compliance and accuracy.Prepare offering documents, such as Private Placement Memorandums (PPMs), and ensure adherence to Regulation D and other securities laws.Guide the Advisers' Act, including exemption, registration, and compliance issues affecting fund managers.Collaborate with clients and legal teams from inception to closing on various transactions and commercial agreements.Requirements:3-4 years of experience working in a large law firm, specializing in representing private fund sponsors and institutional investors.Proven track record in the formation, structuring, and management of alternative investment funds.Experience in drafting and negotiating core fund documentation, including limited partnership and LLC agreements.Familiarity with complex fund offering processes and the regulatory landscape surrounding private placements and the Advisers' Act.Education:Juris Doctor (JD) from a recognized law school.A strong academic record.Certifications:Licensed to practice law in Illinois or eligibility for admission.Skills:Excellent drafting, negotiating, and legal analysis skills, particularly in the fund formation and capital-raising sector.Deep understanding of market fund terms, securities laws, and regulatory compliance.Strong interpersonal skills with the ability to interact effectively with both legal and business professionals.Excellent written and oral communication abilities.Ability to work independently while managing multiple client relationships and legal matters.Job Location:Chicago, ILCompany infoBCG Attorney Search200 South Wacker Drive, 31st FloorChicagoIllinoisUnited States 60606Phone :
