Fund Formation Associate AttorneyJob Overview:A prestigious law firm based in Washington, DC is looking for a highly skilled Fund Formation Associate Attorney to join their Corporate and Private Equity Department. The ideal candidate will have significant experience in representing private fund sponsors and institutional investors on complex fund formation matters. This role offers the opportunity to work on structuring, capital raising, and compliance across various investment fund strategies. The role is ideal for an attorney with strong drafting experience, market insight, and the ability to advise both legal and business teams.Duties:Handle all aspects of formation, structuring, capital raising, compliance, and ongoing management of alternative investment funds, including private equity, real estate, mezzanine, hedge funds, evergreen funds, and other hybrid funds.Assist in related capital raising transactions, including programmatic joint ventures and managing the equity investment process for one-off transactions on behalf of independent sponsors.Draft and negotiate limited partnership agreements and limited liability company agreements in private investment fund contexts.Advise and support clients in structuring capital investments and providing legal insights throughout the transaction lifecycle.Prepare offering documents such as Private Placement Memoranda (PPMs), ensuring compliance with Regulation D and other securities laws governing private placements.Guide on regulatory issues, including the Advisers’ Act, related exemptions, and compliance matters for fund managers.Collaborate closely with legal and business teams from inception to the closing of transactions.Requirements:3-4 years of experience in a large law firm, specifically representing private fund sponsors and institutional investors.Primary experience in drafting private investment fund documents, including limited partnership and limited liability company agreements.Deep understanding of market fund terms and key negotiation points in the fund offering process.Experience identifying issues in fund documents on behalf of institutional investors.Familiarity with regulatory frameworks, such as Regulation D and the Advisers’ Act.Education:Juris Doctor (JD) degree from an accredited law school.A strong academic record.Certifications:Active license to practice law in the relevant jurisdiction or ability to become licensed.Skills:Excellent drafting, negotiation, and communication skills.Ability to work independently and manage multiple projects.Strong interpersonal skills for interacting with both legal and business clients.High attention to detail and ability to handle complex legal matters.Job Location:Washington, DCCompany infoBCG Attorney Search1629 K ST NW, Suite 300WashingtonDistrict of ColumbiaUnited States 20006Phone:
