Job Overview: A law firm is seeking a Fund Formation Associate Attorney to be extensively involved in various aspects of alternative investment fund formation, structuring, capital raising, compliance, and ongoing management across different strategies. The candidate will work with a range of fund types including private equity, real estate, mezzanine, hedge funds, and hybrid funds. Additionally, the role involves collaborating on related capital raising transactions such as joint ventures and managing equity investment processes.Duties:Participate in all facets of alternative investment fund formation, including structuring, compliance, and ongoing management.Draft and review limited partnership agreements and limited liability company agreements for private investment funds.Analyze market fund terms and negotiate issues in the fund offering process.Review fund documents on behalf of institutional investors and identify pertinent issues.Prepare offering documents, including Private Placement Memorandums (PPMs), ensuring compliance with relevant securities laws.Navigate Advisers' Act regulations and related compliance issues applicable to fund managers.Interact with legal and business stakeholders throughout the fund formation process, providing guidance and advice.Draft and negotiate transaction documents and commercial agreements.Requirements:2-6 years of experience in a large law firm, specializing in private fund sponsor representation and institutional investor matters.Strong understanding of fund formation processes, market terms, and compliance requirements.Experience with drafting and reviewing limited partnership agreements and LLC agreements in the private investment fund context.Proficiency in preparing offering documents and familiarity with Regulation D and other securities laws governing private placements.Knowledge of Advisers' Act regulations and related exemption, registration, and compliance issues for fund managers.Excellent interpersonal skills and ability to communicate effectively with clients and colleagues.Strong academic background with exceptional writing and oral communication skills.Ability to work independently and collaboratively in a fast-paced legal environment.Education and Certifications:Juris Doctor (J.D.) from an accredited law school.Admission to the California State Bar or eligibility for admission.Certifications or coursework related to securities law, fund formation, or investment management (preferred).Skills:Legal drafting and review skills.Negotiation abilities.Compliance expertise.Interpersonal communication.Analytical thinking.Time management and prioritization.
