The successful candidate will be responsible for various aspects of fund formation, structuring, compliance, and management across alternative investment funds. The Fund Formation Associate Attorney will be involved in all facets of forming, structuring, and managing alternative investment funds, including private equity, real estate, mezzanine, hedge funds, and hybrid funds. They will also work on related capital-raising transactions and joint ventures, providing legal expertise to ensure compliance and successful execution.Duties:
Participate in all aspects of the formation, structuring, and ongoing management of alternative investment funds.Work on capital raising transactions, including programmatic joint ventures and equity investment processes for independent sponsors.Draft and review limited partnership agreements and limited liability company agreements.Review fund documents and identify pertinent issues for institutional investors.Prepare offering documents such as Private Placement Memorandums (PPMs) and ensure compliance with relevant securities laws.Navigate Advisers’ Act and related compliance issues applicable to fund managers.Draft and negotiate transaction documents and commercial agreements.Provide legal counsel to clients and colleagues throughout the fund formation process.Requirements:
2-6 years of experience in a large law firm representing private fund sponsors and institutional investors.Strong academic background with excellent writing and oral communication skills.Solid understanding of market fund terms and negotiating nuances.Familiarity with Regulation D and other securities laws governing private placements.Experience in drafting and negotiating complex transaction documents.Ability to work independently and collaborate effectively with clients and colleagues.Strong interpersonal skills for interaction with legal and business professionals.Education & Certifications:
Juris Doctor (JD) from an accredited law school.Admission to the State Bar in Maryland or eligibility for admission through reciprocity.Skills:
Legal drafting and review skills.Compliance expertise in securities laws.Negotiation skills for transactional agreements.Interpersonal skills for client interactions.Ability to work independently and in a team environment.
