Job Type: Full-Time, Hybrid Schedule (3 days onsite, 2 days remote), Full Time
Salary: $100,000 - $130,000 per year, along with Paid Time Off, Paid Sick Time and Holidays, Healthcare, Dental and Vision Coverage, 401k
LHH is working with a large national firm in seeking an experienced Corporate Paralegal with a strong background in corporate legal processes to provide essential support to attorneys who work on a wide range of transactional and governance matters. This position will be located in their Downtown Los Angeles office. This role is ideal for a motivated professional with strong skills in corporate maintenance, transactional documentation, and regulatory compliance.
Responsibilities:
- Prepare and file federal, state, and county forms for corporate and partnership entities, ensuring compliance with regulatory requirements
- Assist attorneys in mergers, acquisitions, private equity, venture capital financing, and licensing transactions
- Manage documentation and filing for corporate maintenance and formation, as well as amendments, withdrawals, mergers, and dissolutions
- Support governance tasks, including organizing and maintaining corporate records and tracking key compliance deadlines
- Prepare and organize documentation for securities-related transactions involving publicly and privately traded companies
- Coordinate corporate finance documents and agreements, ensuring accuracy and consistency across filings
- Draft, proofread, and edit transactional documents, verifying compliance with legal and regulatory standards
- Prioritize and manage workload to meet critical filing deadlines and support attorneys on multiple concurrent projects
- Communicate clearly and professionally with team members and clients to provide updates and gather necessary information
Qualifications:
- Education and Certification: An ABA-approved Paralegal Certificate is required
- Experience: A minimum of 5-10 years of experience as a corporate paralegal with a comprehensive understanding of federal and state-specific corporate forms and procedures
- Technical Proficiency: Advanced skills in Microsoft Office Suite (Word, Outlook, PowerPoint, and Excel) and Adobe, familiarity with litigation and document management tools including PACER, Relativity, Concordance, Westlaw, and Lexis/Nexis
- Corporate Knowledge: Familiarity with legal requirements for corporate maintenance, formation, and transactions, including M&A, private equity, securities, venture capital financing, and corporate governance
- Communication Skills: Excellent written and verbal communication abilities, including strong grammar, punctuation, and proofreading skills
- Organizational Abilities: Exceptional attention to detail, organization, and time-management skills to handle multiple projects and meet deadlines
- Collaboration Skills: Ability to work effectively and cooperatively with attorneys, colleagues, and clients to ensure the timely completion of tasks and adherence to legal standards
