A law firm seeks an experienced Of Counsel - Transactional Franchise Attorney to join its team in San Diego, CA, with flexibility for remote work. This role is designed for an attorney with a robust background in U.S. franchising regulations, adept at drafting franchise agreements and ensuring regulatory compliance. The position involves guiding clients on sophisticated business transactions within the franchise sector, providing support to both domestic and international clients across diverse industries.

Duties:

  1. Draft and review franchise agreements, disclosure documents, and other required regulatory filings.
  2. Provide strategic counsel on complex business transactions in the franchise and distribution sectors.
  3. Advise clients on compliance with U.S. franchising laws, including both domestic and international issues.
  4. Collaborate with a team of attorneys on franchise-related litigation and transactional matters.
  5. Serve a wide range of clients, including emerging franchisors, established brands, private equity firms, and international businesses entering the U.S. market.

Requirements:

  1. Minimum of 8 years’ experience in transactional franchise law.
  2. Extensive knowledge of U.S. franchise regulations, with additional experience in international franchising or M&A preferred.
  3. Admission to practice law in California or eligibility for admission via waiver.
  4. Strong analytical, drafting, and writing abilities.
  5. Ability to work independently and collaboratively within a team.

Education:

  1. Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  1. Active membership in good standing with the California State Bar or eligibility for admission.
