The successful candidate will play a key role in advising clients on matters related to executive compensation and benefits, with a particular focus on mergers and acquisitions. This role involves drafting complex agreements, managing incentive plans, and offering guidance on regulatory compliance in this specialized legal area.Duties:Draft and negotiate executive employment agreements for mergers and acquisitions.Develop, manage, and implement equity incentive plans, including profits interest plans.Provide expert advice on executive compensation about regulatory compliance.Guide clients on benefits and compensation integration during mergers and acquisitions.Collaborate with cross-functional teams, including tax and corporate departments, to provide comprehensive legal support.Advise clients on emerging trends and changes in employment law affecting compensation and benefits.Conduct due diligence on compensation and benefits-related matters in transactional contexts.Requirements:Experience in executive compensation and employee benefits law.Strong background in mergers and acquisitions, particularly in compensation-related matters.Extensive experience drafting and negotiating complex employment agreements.Knowledge of ERISA, tax laws, and securities regulations affecting compensation.Proven ability to manage multiple client relationships and transactions simultaneously.High attention to detail and strong organizational skills.Excellent communication and interpersonal skills.Education:Juris Doctor (J.D.) degree from an accredited law school.Admission to the Bar in Virginia, or eligibility to become licensed.Certifications:Active membership in good standing with the State Bar Association.Skills:Strong legal drafting and negotiation skills.Deep knowledge of executive compensation structures and related laws.Analytical mindset with the ability to assess and mitigate legal risks.Excellent time management and multitasking abilities.Effective collaboration with both internal teams and external clients.Strong leadership skills and ability to mentor junior associates.Job Location:
