Associate Counsel
to join the
Business & Legal Affairs team ! Individual reports to
Contract Counsel.
Role is
remote - must reside in the United States.
ABOUT THE ROLE
Reporting to the Contract Counsel, the Associate Counsel will work within a ‘shared services’ model, supporting the Mint Mobile and Ultra Mobile brands. The role will manage the contract life cycle for all assigned contracts, including reviewing, drafting, negotiating, and analyzing contracts to identify risk and confirm compliance with the business. In addition, this Associate Counsel will help improve internal contract policies and procedures for the business teams. Specifically, the Associate Counsel will work closely with the applicable business teams, including but not limited to Procurement, to ensure efficient and effective communication with the business stakeholders and timely review of all requests.
Your usual day of awesomeness includes:
Manage and optimize the company’s contract lifecycle, leading cross-functional stakeholders through contracting gates.
Draft, review, interpret, redline and negotiate vendor contracts and other agreements to identify and mitigate legal risk and ensure compliance with company policies, commercial specifications, and other requirements.
Identify and escalate high-risk contracts including by utilizing legal resources and other subject matter experts to ensure all levels of risk are recognized and addressed.
Effectively communicate legal risk to internal stakeholders.
Manage all pre-execution and post-execution contract workflows.
Assist with migration of contract repository to new CLM (Ironclad).
Maintain the centralized database of contracts (Ironclad CLM), ensuring accurate and efficient tracking and reporting capability.
Analyze contracts and relationship dynamics in response to business questions and provide cross-functional guidance.
Create and execute procurement strategies, processes and templates that are aligned with business objectives.
Work collaboratively with cross-functional teams to help identify, develop, document, and implement process improvements, develop proposals, new contract templates and ensure alignment with all internal parties on key agreement terms.
Assist and support Procurement with managing relationships with third party technology vendors or other service providers.
Facilitate and compile stakeholder reviews of complex agreements from the various business units and other teams as necessary.

WHAT YOU BRING
Bachelors or Advanced degree; JD preferred.
3+ years’ experience in a transactional or contracts-based practice (e.g., law firm, corporate legal department, or government legal department setting).
3+ years’ experience reviewing, negotiating and drafting commercial B2B contracts.
Equivalent combination of education and experience.
Knowledge of contract and negotiation principles, including exceptional drafting and redlining skills.
Ability to negotiate skillfully in writing and verbally with counterparties and present clear and strong arguments for the company’s business positions.
Experience presenting ideas to various levels within an organization, bringing together internal stakeholders and managing customer and vendor relationships.
Able to take direction and work independently, prioritize and multi-task in a fast-paced environment with minimal oversight needed.
Exceptional written and verbal communication skills required.
Excellent organizational, prioritization and time management skills required.
Strong computer skills required including Word and Excel, and contract management systems; experience with Ironclad preferred.
Must be motivated, results focused, and act with a high sense of urgency and ownership.
