A forward-thinking law firm is seeking an experienced Corporate and M&A Attorney with at least 5 years of corporate and transactional experience. The role involves preparing and negotiating contracts, advising on M&A transactions, and supporting clients in various industries including healthcare IT, life sciences, medical devices, software, and fintech. This position is based in Madison, WI, and offers flexible work arrangements, making it ideal for those looking for a balance between sophisticated legal work and a supportive work environment.LocationMadison, WIDutiesPrepare, negotiate, and revise asset purchase agreements, stock purchase agreements, and ancillary agreements for company sales.Stay informed on market terms in small and middle market M&A transactions.Maintain working knowledge of tax, intellectual property, employment, and privacy matters relevant to M&A.Understand basic aspects of HSR requirements, patent law, employment laws, and FDA approval processes for medical devices.Advise on corporate governance and fiduciary duty matters.Draft and review company sale waterfall spreadsheets, shareholder agreements, and various employment-related agreements.Prepare and negotiate investment agreements from Series AA to Series D.Support clients in angel and venture capital transactions, including knowledge of Regulation D and market terms.Draft and negotiate distribution, manufacturing, and supply agreements.Prepare background memos, articles, and blog posts on issues relevant to emerging companies.Develop and refine content for automated forms and systems.Cultivate and maintain strong relationships with emerging company clients, especially in the upper Midwest technology community.RequirementsMinimum of 5 years of experience in corporate law and M&A.Strong contract drafting and negotiation skills, with an ability to handle complex transactions.Prior experience in healthcare IT, life sciences, medical devices, software, or fintech sectors is preferred.Excellent communication skills and the ability to build client relationships.EducationJuris Doctor (JD) degree from an accredited law school.CertificationsActive license to practice law in Wisconsin or eligibility to waive in.SkillsProficient in managing complex corporate transactions and M&A processes.Strong analytical and problem-solving skills.Ability to work independently as well as part of a collaborative team.Tech-savvy, with an ability to adapt to automated and cloud-based systems.Familiarity with current market terms and trends in M&A and venture capital.Company infoBCG Attorney Search200 South Wacker Drive, 31st FloorChicagoIllinoisUnited States 60606Phone :
