Senior Corporate Paralegal

No Third Party Recruiters This is a hybrid position in Westminster, Colorado Job Summary: Responsible for providing paralegal support and assistance to in-house legal staff and coordination with outside legal counsel. Will be a key member of the legal and compliance team reporting directly to an in-house attorney Principal Duties and Responsibilities: Help create and manage internal contracting process. Prepare first draft of contracts and amendments. Manage the global lifecycle of subsidiaries by obtaining necessary approvals and preparing legal documents to effect formations, amendments to governing documents, officer and director modifications, qualifications to do business, withdrawals, mergers, etc. Help implement processes to track and comply with legal obligations and respond to routine information requests to provide information about organizational structure, ownership and management from internal teams or external. Manage corporate entities. Assist with legal billing and invoice support, documentation and payables process. Maintain organizational documents, and other corporate records for the company and its subsidiaries, including making annual state filings, maintaining business licenses and other related submissions. Coordinate all aspects of the department’s timely, complete and accurate responses to numerous simultaneous requests in project matters. Assist in drafting correspondence, various employment, consulting and settlement agreements, and other related documents. Coordinate with external legal counsel on specific assignments, review preliminary advice and provide internal recommendations. Act as liaison with various internal departments and personnel. As directed by in-house counsel, negotiate resolution of legal claims directly with claimants and/or counsel. Direct outside legal counsel as appropriate in the defense of legal matters. Expected Areas of Competence (i.e., knowledge, skills, and abilities) Time management skills to handle multiple tasks accurately. Must possess strong organizational, interpersonal, and written communication skills. Must be able to work in a team environment. Strong analytical skills, with ability to review legal documents and organize numerous legal documents in complex matters. Must be detail-oriented; able to manage numerous projects simultaneously to meet deadlines in an atmosphere of frequent interruptions. Must be proactive addressing problems and making continuous process improvements. Must demonstrate follow-through on assignments, and ability to ensure accuracy and completeness without prompting from supervisors. Education/Experience Requirements 5-7 years paralegal experience. A combination of education and experience will be considered. Salary: $78,800 - $94,490.00
