Taxation, Trusts & EstatesDirect Counsel is seeking a Senior Income Tax Associate with 6+ years of substantive tax experience, particularly in transactional tax, to join the Taxation, Trusts & Estates Department at a premier California law firm. The ideal candidate will have a strong background in the tax aspects of M&A and/or real estate transactions, with experience managing junior associates and/or paralegals and handling significant client interaction. This role will focus heavily on pass-through entities and C-Corporation planning, including QSBS and irrevocable trust structuring, in the context of M&A, family office planning, real estate ventures, estate planning transactions, internal restructurings, and litigation/employment disputes.Qualifications:Experience:
Minimum of 6 years of substantive tax experience with a focus on transactional tax, particularly in M&A and real estate.Management Experience:
Proven ability to manage junior team members and extensive client interaction.Technical Skills:
Expertise in planning for pass-through entities and C-Corporations, particularly QSBS and irrevocable trust structuring.Education:
Strong academic credentials; an LL.M. in Taxation is preferred.Communication Skills:
Excellent written, interpersonal, and communication abilities.Teamwork & Autonomy:
Ability to work collaboratively in a team environment while handling significant individual responsibilities.Licensing:
Active admission to the State Bar of California.Preferred Background:
