OnKure, Inc. is seeking a Corporate Counsel to lead our legal function. This position is responsible for overseeing and managing all legal aspects of OnKure’s drug discovery and development operations, providing strategic legal advice, and ensuring compliance with applicable laws and regulations.
Essential Duties and Responsibilities:Develop and implement legal strategies that align with OnKure’s business objectives.Provide legal advice to senior management and board of directors on a broad range of issues, including compliance with contracts, laws and regulations, intellectual property, and corporate governance.Negotiate, prepare and review all routine contracts, including Master Services Agreements, Statements of Work, Nondisclosure Agreements, Consulting Agreements and Clinical Trial Contracts.Ensure that contractual relationships are in compliance with legal requirements and mitigate potential risks.Manage OnKure’s outside counsel relationships and review work product.Oversee the protection of intellectual property assets, including working with outside patent counsel.Collaborate with discovery and development teams to assess and manage intellectual property risks associated with their activities.Ensure compliance with corporate governance requirements, maintain corporate records and implement equity incentive plans.Advise on legal matters related to board meetings, shareholder actions, and other corporate governance activities.Collaborate with regulatory affairs to navigate regulatory landscapes and ensure compliance with relevant laws and regulations.Develop and deliver legal training as appropriate to enhance legal awareness and compliance across the organization.Contribute to the development and implementation of company policies and procedures to ensure legal and ethical standards are met.Liaise with internal stakeholders, external legal counsel, and business partners.General counseling and assessment of corporate and business risks.Conduct due diligence on potential collaborations and partnerships.Manage and oversee any legal disputes, litigation, or regulatory proceedings.Preferred Experience and Qualifications:
Juris Doctor (JD) degree from an accredited law school.Admission to the Colorado bar or willingness to sit for the Colorado bar exam.Seven plus years of commercial legal experience with a law firm or as corporate counsel; preference for experience in the biotechnology or pharmaceutical industry.Knowledge of drug discovery and development legal issues related to contract law, intellectual property law, and regulatory compliance.Proven experience managing all aspects of a legal function and providing strategic legal counsel to senior executives and board members.Strong negotiation, communication, and interpersonal skills.About OnKure:OnKure, Inc. is a clinical-stage biopharmaceutical company focused on the discovery and development of best-in-class precision medicines that target biologically validated drivers of cancer.
