The Senior Counsel will handle a wide range of capital markets legal matters for investment banking client. This role has the potential to manage attorneys and will be hybrid in NYC. Client Details Investment bank. Description The Senior Counsel will handle a wide range of capital markets transactional matters, in addition to: Work closely with the General Counsel to advise on a wide range of capital markets transactions, from soup to nuts. Advising clients on legal and documentation matters related to investment grade bonds, preferred shares, liability management transactions, medium term notes and commercial paper; reviewing all of the related documentation and negotiating the documentation Advise and manage equity offerings, IPOs, follow-ons and private placements; and debt offerings (US and International) Serve as legal adviser for matters pertaining to US securities laws and securities regulations Assisting on the structuring of transactions (including assisting on pitches to clients), and researching, reviewing and discussing various questions, both general and specific, posed by the banking team Drafting, negotiating, preparing and reviewing documentation on a variety of transactions in these business areas, such as purchase agreements, offering documents, comfort letters, legal opinions, indentures, registration rights agreements and related documents Closely managing external counsel to efficiently, and cost-effectively, manage the execution of a large volume of capital markets transactions Assist in the management of Counsel Profile J.D. from an accredited law school Member in good standing of the New York State Bar 8-15 years of experience working at a top tier law firm in combination with an investment bank within the capital markets area Extensive experience within the capital markets space, both debt and equity side, advising on transactions from start to finish Experience working with internal clients and stakeholders, particularly investment bankers, product teams, compliance, finance, etc. Broad knowledge of various fixed income asset classes, including investment grade bonds, high yield bonds, asset-backed bonds, covered bonds, preferred shares, private placements of notes, liability management transactions, medium term notes, commercial paper, loans and municipal bonds Understanding of securities laws and regulations Team player Management experience is preferred Job Offer Competitive base salary Excellent bonus Benefits Growth opportunities Management opportunities MPI does not discriminate on the basis of race, color, religion, sex, sexual orientation, gender identity or expression, national origin, age, disability, veteran status, marital status, or based on an individual's status in any group or class protected by applicable federal, state or local law.
