The ideal candidate will have substantial experience representing private equity sponsors and/or agents in a diverse range of transactions. This role requires a creative, solutions-oriented individual with strong analytical and writing skills. Candidates must be licensed and in good standing in the state of Oregon. Duties and Responsibilities: Advise clients on legal matters related to investment funds, including private equity, venture capital, and hedge funds. Represent private equity sponsors and agents in transactions involving fund formation, capital raising, and investment structuring. Draft, review, and negotiate key legal documents such as partnership agreements, subscription agreements, and fund offering memoranda. Conduct comprehensive legal research and prepare detailed reports, memoranda, and other legal documents. Assist in structuring and negotiating complex investment transactions, including mergers, acquisitions, joint ventures, and strategic investments. Ensure compliance with federal and state securities laws and regulations affecting investment funds and private equity. Collaborate with clients, partners, and colleagues to develop and implement effective legal strategies. Stay updated on legal and regulatory developments in investment funds and private equity. Requirements: 4-6 years of experience in investment funds and investment management. Proven experience in representing private equity sponsors and/or agents in a broad range of transactions. Ability to handle complex legal issues related to investment funds and private equity. Creative, solutions-oriented approach with strong analytical and problem-solving skills. Excellent writing and communication skills. Education: Juris Doctor (JD) from an accredited law school. Certifications: Licensed and in good standing to practice law in Oregon. Skills: Deep knowledge of investment funds and private equity law. Proficiency in drafting and negotiating complex legal documents. Strong analytical and research capabilities. Familiarity with legal research tools and case management software. Excellent oral and written communication skills. Ability to work independently and as part of a team.
