The ideal candidate will possess 4-6 years of experience in investment funds and investment management, with substantial experience representing private equity sponsors and/or agents in a diverse range of transactions. The role requires a creative, solutions-oriented approach and strong analytical and writing skills. Candidates must be licensed and in good standing in the state of North Carolina. Duties and Responsibilities: Provide legal counsel on investment funds, including private equity, hedge funds, and venture capital funds. Represent private equity sponsors and agents in transactions such as fund formation, capital raising, and investment structuring. Draft, negotiate, and review complex legal documents, including limited partnership agreements, subscription agreements, and offering memoranda. Conduct thorough legal research and prepare detailed reports, memoranda, and other legal documentation. Assist in structuring and negotiating various investment transactions, including joint ventures, mergers and acquisitions, and strategic investments. Advise clients on compliance with securities laws and regulations pertinent to investment funds and private equity. Collaborate with colleagues to develop and execute effective legal strategies for clients. Stay informed about legal and regulatory developments in investment funds and private equity to provide current and relevant advice. Requirements: 4-6 years of experience in investment funds and investment management. Substantive experience representing private equity sponsors and/or agents across a broad range of transactions. Ability to handle complex legal issues related to investment funds and private equity. Creative, solutions-oriented mindset with strong analytical and problem-solving skills. Excellent writing and communication skills. Education: Juris Doctor (JD) from an accredited law school. Certifications: Licensed and in good standing to practice law in the state of North Carolina.
