Duties and Responsibilities: Provide expert legal advice on investment funds, including private equity, hedge funds, and venture capital. Represent private equity sponsors and agents in transactions involving fund formation, capital raising, and investment structuring. Draft, review, and negotiate complex legal documents such as limited partnership agreements, subscription agreements, and offering memoranda. Conduct comprehensive legal research and prepare detailed reports, memoranda, and other legal documents. Assist in structuring and negotiating investment transactions, including joint ventures, mergers and acquisitions, and strategic investments. Advise clients on compliance with securities laws and regulations related to investment funds and private equity. Collaborate with other attorneys and legal professionals to develop and implement effective legal strategies. Stay updated on legal and regulatory developments in investment funds and private equity to provide informed legal counsel. Requirements: 4-6 years of experience in investment funds and investment management. Substantive experience representing private equity sponsors and/or agents in a broad range of transactions. Ability to handle complex legal issues related to investment funds and private equity. Creative, solutions-oriented mindset with strong analytical and problem-solving skills. Excellent writing and communication skills. Education: Juris Doctor (JD) from an accredited law school. Certifications: Licensed and in good standing to practice law in the state of North Carolina.
