A law firm in Nashville is seeking a Mid-Level Corporate M&A / Private Equity M&A Associate Attorney with 3+ years of experience. The ideal candidate will focus on conducting and managing due diligence, drafting and negotiating transactional documents, and managing M&A processes. This role offers the opportunity to work directly with shareholders and clients. The candidate should have a high level of academic achievement, law firm experience, and superb writing, drafting, and communication skills. Experience with M&A supporting technologies like Kira and a strong interest in developing M&A practice capabilities are important. Duties and Responsibilities: Conduct and manage due diligence for M&A transactions, including analyzing financial statements, contracts, and other relevant documents. Draft and negotiate transactional documents, such as purchase agreements, disclosure schedules, and other related agreements. Manage the M&A process, including coordinating with clients, shareholders, and other stakeholders. Provide legal advice and support to clients on various M&A transactions, including recapitalizations, joint ventures, and other complex transactions. Work directly with shareholders and clients to understand their needs and provide strategic legal guidance. Utilize M&A supporting technologies, such as Kira, to enhance efficiency and accuracy in document review and analysis. Maintain up-to-date knowledge of relevant laws, regulations, and market trends affecting M&A and private equity transactions. Collaborate with other attorneys and legal professionals within the firm to ensure comprehensive legal solutions and strategies. Contribute to the development and improvement of M&A practice capabilities within the firm. Requirements: 3+ years of business and transactional experience, including M&A, recapitalizations, joint ventures, and other complex transactions. Strong academic credentials and law firm experience. Excellent writing, drafting, and communication skills. Experience with M&A supporting technologies, such as Kira. Strong interest in continuing to develop M&A practice capabilities. Ability to work directly with shareholders and clients effectively. High level of attention to detail and accuracy. Education: Juris Doctorate (J.D.) from an ABA-accredited law school. Certifications: Admission to the Tennessee State Bar (or eligibility to obtain admission). Skills: Proficient in managing due diligence and drafting transactional documents for M&A transactions. Strong understanding of M&A processes and complex transactions. Excellent research, analytical, and communication skills.
