A law firm is seeking a Mid-Level M&A/Private Equity Associate Attorney for their Chicago, IL office. The ideal candidate will possess substantial experience in mergers and acquisitions (M&A) and private equity transactions. This role requires outstanding academic credentials and, preferably, experience at a major law firm. The successful candidate will be skilled in managing complex transactions and providing strategic legal advice.
Duties and Responsibilities:
- Lead and manage M&A transactions, including due diligence, negotiation, and drafting of transactional documents.
- Advise private equity clients on fund formation, investments, and exits.
- Draft, review, and negotiate key transaction documents, such as purchase agreements, shareholder agreements, and merger agreements.
- Conduct thorough legal and business due diligence to identify and address potential risks and issues.
- Collaborate with clients, internal teams, and other stakeholders to structure and execute complex transactions.
- Provide strategic legal advice on M&A and private equity matters, including regulatory compliance and risk management.
- Stay current on industry trends, market practices, and legal developments affecting M&A and private equity transactions.
- Manage multiple transactions simultaneously and meet tight deadlines.
- Mentor and supervise junior associates and contribute to the firm’s training and development programs.
Requirements:
- 3-5 years of experience in M&A and private equity transactions.
- Experience in a large law firm setting preferred.
- Demonstrated expertise in managing complex transactions and providing strategic legal counsel.
- Strong analytical, negotiation, and drafting skills.
- Proven ability to handle high-pressure situations and tight deadlines effectively.
Education and Certifications:
- Juris Doctor (JD) degree from an accredited law school.
- Admitted to the State Bar and in good standing.
Skills:
- Deep knowledge of M&A and private equity transactions, including structuring, negotiation, and documentation.
