Duties and Responsibilities: Lead and manage M&A transactions, including due diligence, negotiation, and drafting of transactional documents. Advise private equity clients on fund formation, investments, and exits. Draft, review, and negotiate key transaction documents, such as purchase agreements, shareholder agreements, and merger agreements. Conduct thorough legal and business due diligence to identify and address potential risks and issues. Collaborate with clients, internal teams, and other stakeholders to structure and execute complex transactions. Provide strategic legal advice on M&A and private equity matters, including regulatory compliance and risk management. Stay current on industry trends, market practices, and legal developments affecting M&A and private equity transactions. Manage multiple transactions simultaneously and meet tight deadlines. Mentor and supervise junior associates and contribute to the firm’s training and development programs. Requirements: 3-5 years of experience in M&A and private equity transactions. Experience in a large law firm setting preferred. Demonstrated expertise in managing complex transactions and providing strategic legal counsel. Strong analytical, negotiation, and drafting skills. Proven ability to handle high-pressure situations and tight deadlines effectively. Education and Certifications: Juris Doctor (JD) degree from an accredited law school. Admitted to the State Bar and in good standing. Skills: Deep knowledge of M&A and private equity transactions, including structuring, negotiation, and documentation.
