Duties: Represent clients in public finance transactions, including preparing and negotiating reimbursement agreements, letters of credit, and liquidity facilities. Advise lenders in commercial lending transactions, focusing on secured and unsecured bank lending from origination through documentation. Provide expertise in municipal finance, corporate finance, and securities underwriting, including bond issuance, municipal general obligation and revenue bonds, and municipal lease obligations. Navigate the legal complexities associated with letters of credit and liquidity facilities for publicly issued municipal securities. Offer legal guidance and support for transactions involving nonprofit hospitals, nursing homes, universities, cultural institutions, and other facilities such as airports, utilities, and solid waste management. Manage multiple projects and deadlines effectively, ensuring client satisfaction and adherence to legal standards. Collaborate with clients, colleagues, and other stakeholders to deliver comprehensive and strategic legal solutions. Requirements: 3-7 years of experience practicing transactional law at a large or medium-sized law firm. Proven experience in preparing reimbursement agreements, letters of credit, and liquidity facilities related to public finance transactions. Demonstrated expertise in representing lenders in commercial lending transactions. Familiarity with municipal finance, banking, corporate finance, and securities underwriting. Experience with various public finance instruments, including exempt facility bonds, student loan bonds, and commercial paper programs. Strong academic credentials and superior interpersonal, analytical, and writing skills. Commitment to exceptional client service and ability to handle fast-paced transactions. Education: Juris Doctor (JD) degree from an accredited law school. Certifications: Member in good standing or eligible to waive into the appropriate state Bar.
