A law firm seeks a Corporate Associate with expertise in funds and investment management to join its team in Denver. This role involves working with fund sponsors and institutional investors to provide strategic advice and support on the structuring, management, and compliance of various private investment funds, including venture capital, private equity, real estate, and other alternative funds.
Duties
- Assist with the creation, structuring, and management of diverse private investment funds and their related entities.
- Advise fund sponsors and institutional investors on compliance with relevant regulatory frameworks, including federal and state securities laws.
- Provide counsel on fund formation across various types, including venture capital, growth equity, buyout, fund-of-funds, and specialized investment vehicles.
- Draft and negotiate fund-related documents such as limited partnership and limited liability company agreements.
- Facilitate secondary transactions and structure carry vehicles as required.
- Maintain strong client relationships through ongoing advisory support.
Requirements
- Minimum of 3 years of experience working with private investment funds, including venture capital, private equity, and real estate funds.
- Proficiency in drafting limited partnership and limited liability agreements.
- Strong knowledge of U.S. federal and state securities laws and familiarity with the Investment Advisers Act and the Investment Company Act.
- Proven ability to handle complex secondary transactions and structuring of carry vehicles.
Education
- Juris Doctor (J.D.) degree from an accredited institution.
- Active, in-good-standing membership with the relevant state bar.
Certifications
- Bar admission in the relevant state, preferably Colorado.
