A law firm seeks a Corporate Associate specializing in funds and investment management to join their Boulder, CO office. This position focuses on advising sponsors and investors in various alternative investment funds, including venture capital, private equity, real estate, low-income housing, and hedge funds. The associate will engage in structuring, formation, ongoing management, and regulatory compliance for a variety of private investment funds and their associated management entities.
Duties
- Support the structuring, formation, and ongoing management of private investment funds and related entities.
- Advise a diverse range of institutional investors involved in private investment funds.
- Provide legal guidance on fund formation for various types, including venture capital, growth equity, buyout, fund-of-funds, private credit, and non-traditional fund structures.
- Assist clients with compliance in regulatory matters related to investment activities.
- Draft and review limited partnership and limited liability agreements.
- Provide counsel on U.S. federal and state securities matters, as well as the Investment Advisers Act and Investment Company Act.
- Participate in secondary transactions and structuring carry vehicles as required.
- Develop and maintain client relationships to support long-term advisory roles.
Requirements
- Minimum of 3 years of experience in private investment fund formation, particularly in venture capital, private equity, real estate, and hedge funds.
- Strong understanding of limited partnership and limited liability agreements.
- Proficiency in advising on U.S. federal and state securities regulations.
- Experience working with the Investment Advisers Act and the Investment Company Act is preferred.
- Demonstrated ability to handle secondary transactions and structure carry vehicles.
Education
- Juris Doctor (J.D.) degree from an accredited law school.
- Active membership in good standing with the relevant state bar, preferably Colorado.
Certifications
- Admission to the Colorado Bar or eligibility for immediate admission.
