Duties:
- Advise clients on mergers, acquisitions, and private equity transactions.
- Draft, review, and negotiate complex legal documents, including term sheets, purchase agreements, and disclosure schedules.
- Conduct due diligence and coordinate with clients, opposing counsel, and other stakeholders.
- Provide strategic legal counsel and risk assessments throughout the transaction process.
- Assist in structuring and executing transactions to ensure compliance with relevant laws and regulations.
- Research and stay current on legal developments in M&A and private equity.
- Collaborate with senior attorneys and partners to develop strategies and solutions for client matters.
- Mentor and guide junior attorneys and support staff as needed.
Requirements:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the State Bar of California.
- 4-7 years of experience specializing in M&A and private equity transactions.
- Demonstrated experience in handling complex transactions and negotiations.
- Proven track record of providing high-quality legal advice and client service.
Education:
