Associate Attorney

to join their

Washington, DC

office. This position offers the opportunity to engage in sophisticated securities work, mergers and acquisitions, and private equity transactions within a dynamic, collaborative environment.

Candidate Profile:

JD from a top-tier law school with a strong academic record (link removed)> Active Bar Admission in appropriate jurisdiction.

35 years

of substantive experience in

corporate transactions

and

securities

work.

Highly proficient in

public

and

private offerings of securities ,

corporate governance , and

public company periodic reporting (link removed)> Experience with

public and private mergers and acquisitions

and

private equity

is a plus.

Strong interpersonal and communication skills, with the ability to work effectively in team-oriented settings.

Key Responsibilities:

Provide counsel on public and private offerings of securities, ensuring compliance with regulatory requirements.

Advise clients on corporate governance matters and public company periodic reporting obligations.

Represent clients in public and private mergers and acquisitions and private equity transactions.

Draft and negotiate transactional documents, including offering memoranda, shareholder agreements, and related contracts.

Collaborate with cross-functional teams to address tax, regulatory, and other considerations.

Build and maintain strong client relationships, contributing to business development efforts.
