Job Summary:The Vanderbilt Health Executive Search Team is conducting a national search for a Division Counsel - Healthcare Transactions. VUMC is seeking an attorney with experience advising and providing legal support in transactional and contract matters within a healthcare environment. This position will be dedicated to transaction support in all areas of the healthcare enterprise, such as professional services arrangements, operations support in various VUMC subsidiaries, general contracting (including supply chain), and support in M&A transactions and joint ventures in which the healthcare enterprise may be involved. This position will carry the title of Division Counsel and will work within the Office of Legal Affairs, reporting to a Managing Counsel and the VUMC General Counsel. Candidates should possess a minimum of seven (7) years' experience in transactional legal work, with at least three (3) of those years providing legal advice and assistance to healthcare institutions or companies. The ideal candidate will have worked with or for a hospital or health system or a law firm advising a hospital or healthcare company. Preference will be given to candidates with experience advising academic medical centers or with other significant, relevant experience. The successful candidate will have a solid understanding of federal and state regulatory schemes impacting such areas in a healthcare transactional environment. Relevant experience and demonstrated understanding of fraud, waste, and abuse laws, Medicare, and Medicaid (TennCare) laws, and related regulations is required. The successful candidate will be a good negotiator with excellent oral and written communication skills and will have the ability to work both independently and as part of a team within a dynamic and fast-paced environment. Excellent client management skills, the ability to prioritize competing demands, and the ability to balance risk with organizational goals will be necessary. This position will also involve working with and managing outside legal resources.Role Accountabilities:Support the transactional activities of a large academic medical center.Advise clients within VUMC on the relevant regulatory schemes involved in contracting and transactional matters.Support the development and structural organization of various business lines.Monitor changes in relevant regulatory areas and provide education on those changes to business and operational personnel and compliance and legal affairs teams.Draft, negotiate, and advise on institutional contracts, letters of intent, confidentiality agreements, affiliation agreements, memorandum of understandings and professional services agreements.Develop and maintain appropriate template agreements to maintain efficiencies in contracting where appropriate.Provide regulatory support and assistance on contract and transactional matters in which VUMC may engage.Provide support to hospital and subsidiary operations as appropriate; andProvide guidance and assistance to other colleagues in the Office of Legal Affairs in a highly collaborative and team-oriented fashion.Qualifications - External:JD degree from an ABA-accredited law school.Must have at least 5 years (preferably 7 years or more) of directly applicable experience, with at least three years providing legal advice and assistance to healthcare institutions or companies.Employment contingent upon State of Tennessee licensure or registration and receipt of In-House Counsel Practice Certificate. The successful candidate must also apply for and become licensed in the State of Tennessee within 12 months of employment or, if earlier, the date required under applicable rules of the Tennessee Supreme Court.Preferred Qualifications:7 years plus of experience Providing legal advice.Experience supporting a hospital or health System.Experience with contract drafting and transactional matters.Experience working with subsidiary companies.Experience working with business leaders to achieve transactional goals.
