That pride shines through in the work we do for our clients.About The Team And What We'll Build TogetherKobie is looking for an experienced in-house attorney to join Kobie as Corporate Counsel. The Corporate Counsel will work closely with all departments across the company to provide legal advice and counsel to Kobie with respect to commercial and regulatory matters. This role will support a variety of functions with a focus on complex commercial transactions, including contract review and negotiations, corporate compliance, employment-related matters, support of the trademark portfolio, data privacy and other related activities. The Corporate Counsel will interact with and influence internal teammates at all levels of the organization, outside counsel, and Kobie's clients and vendors, and will report to the General Counsel.The ideal candidate will possess a strong background in drafting and negotiating technology service provider agreements, and counseling on information governance, information security and data privacy issues and regulations. You will work closely with internal stakeholders to ensure legal compliance and mitigate risks while fostering a culture of ethical business conduct.How You Will Make An ImpactContract Review and Negotiation:

Review, draft, and negotiate a variety of contracts, including vendor agreements, client contracts, and partnership agreements with sophisticated domestic and international clients, vendors, and partners.Ensure contracts align with legal and business requirements.Drive contracting process and ongoing improvements to that process to decrease contracting time and accelerate time to implementation.Lead and maintain standardization and continuous improvement of contract terms and templates in accordance with industry best practices in collaboration with cross-functional teams of stakeholders.

Data Privacy and Security:

Serve as the primary point of contact for data privacy matters, staying abreast of U.S. and global privacy laws and regulations.Develop and implement data privacy policies and procedures.Advise the business on legal implications of domestic and international privacy and data protection laws and regulations, as they pertain to Kobie, partnering with General Counsel and business teams to ensure related organizational compliance and best practices.

Legal Compliance and Risk Management:

Monitor and ensure compliance with relevant laws and regulations, providing proactive advice on potential legal issues.Develop, implement, and maintain policies, procedures, forms, notices, and guidelines necessary to meet applicable legal and regulatory requirements, standards, and best practices, in coordination with internal business stakeholders.Keep up to date with changes to laws, regulations, and relevant topics to Kobie's business across multiple jurisdictions, offer related guidance to senior management, sales, client services, compliance, and technology teams, as needed.Identify existing and potential legal and regulatory risks related to Kobie's services, products, and business activities, assess the likely impact of such risks to Kobie, and propose practical and innovative solutions to address those risks.

Provide training to employees on legal and compliance matters.Foster a culture of awareness and adherence to legal and ethical standards.

General:

Collaborate with internal and external stakeholders and partners, and lead and participate in cross-functional teams.Work on multiple projects simultaneously and adapt to new and changing demands and challenges in a fast-paced environment.Collaborate and communicate regularly with internal stakeholders to understand business needs and objectives.Provide practical legal counsel and recommendations to teammates to support and advance business goals while sufficiently protecting the business from legal risks.Perform general legal research, review and counsel for projects and strategic initiatives.Support intellectual property portfolio development and management, including trademark application and protection processes.Effective and efficient management of outside counsel.Support internal investigation and complaint handling process.Provide training to the company on legal topics.

What You Need To Be SuccessfulBachelor's and J.D. degree from an accredited universityMembership in good standing with applicant's State Bar.Overall experience of 10+ years of in-house legal department or law firm negotiating and advising on technology and service provider agreements.Proven experience in data privacy program design, implementation, operationalization, and compliance with a solid understanding of global data protection laws (e.g., GDPR, PIPEDA, U.S. state privacy laws).Experience with U.S. banking regulations relating to providers of technology and professional services preferred.Strong verbal and written communication skills, including ability to influence associates, leaders, and cross-functional partners and to clearly and effectively articulate legal issues to all colleagues throughout the organization.Decisive and resourceful with strong negotiation skills on both legal and financial/commercial issues.Ability to work independently with minimal supervision.Process and detail-oriented, with a high degree of accuracy.Enthusiastic and solution-oriented.Our teammates are at the heart of everything we doHealthy people are happy people, which makes mental and physical health a top priority at Kobie.
