The Senior Counsel, Securities and Treasury will provide strategic legal guidance on securities law obligations, shareholder engagement strategies, enterprise financing, corporate responsibility reporting, insider trading, executive compensation disclosure matters, and governance matters.The role requires the individual to:Be adept at coordinating and working with other subject matter experts involved in a transactionConduct legal due diligenceDraft and review various types of transaction documentsWork with business partners on general problem-solvingWork effectively with and manage outside counselWork well across time zones and in a matrixed environmentAnticipate legal and deal issuesDesign and execute strategies to mitigate risk and achieve superior valueResponsibilities:Review and file SEC reports including Forms 10-K, 10-Q, 8-K, Section 16 filings, proxy statements, and registration statementsProvide strategic advice on general securities matters, including Regulation FD, Regulation G, and NYSE complianceProvide strategic advice on public disclosures, including press releases, investor relations presentations, and external communicationsLead drafting of sections of proxy statement and annual meeting materialsProvide strategic advice regarding policies of proxy advisory firms, institutional investors, and other corporate governance and ESG rating agenciesSupport capital market transactionsProvide strategic support for general treasury mattersDraft, review, and negotiate transaction agreements and documentsMatrix within the legal department and with critical business partnersShare knowledge and skills with other legal counselWork closely with financial and regulatory staffMaintain good corporate governance in transactionsQualifications:J.D. from accredited law school/Bar membership required8+ years of experienceAt least 5 years in-house legal department of a publicly traded company or law firm corporate practiceBroad knowledge of federal securities laws and NYSE rulesExperience in advising management on public company mattersStrong analytical, written, and oral communication skillsAbility to identify issues and propose actionable solutionsTrack record of project and process managementStrong work ethic with effective time-management skillsDemonstrated good judgment and attention to detailProven ability to mitigate legal and business risksWillingness to travel internationally and domesticallyAbility to prioritize, multi-task, and manage projects efficientlyAbility and desire to learn new subject areas
