Profile:

A law firm in Palo Alto, CA, is seeking an experienced Emerging Companies and Venture Capital (ECVC) Associate Attorney to join their team. The ideal candidate will focus on emerging companies and the investors who support them, leading transactions and interacting directly with founders, CEOs, management teams, boards of directors, and investor-side clients.

Job Description:

Lead ECVC transactions, ensuring legal compliance and strategic alignment.

Provide counsel and guidance to founders, CEOs, management teams, and boards of directors.

Advise VC and other investor-side clients on a variety of legal matters.

Draft, review, and negotiate transaction documents, including investment agreements, shareholder agreements, and other corporate documents.

Conduct due diligence investigations and manage transaction processes.

Stay current with ECVC industry trends, regulations, and best practices.

Collaborate with other attorneys and legal professionals within the firm.

Mentor junior associates and support staff as needed.

Represent clients in legal proceedings related to ECVC matters.

Requirements:

5-7 years of experience in ECVC law.

Demonstrated ability to lead transactions and manage multiple projects simultaneously.

Strong client management skills with the ability to interact effectively with high-level executives and investors.

Excellent written and verbal communication skills.

Detail-oriented with strong analytical and problem-solving abilities.

Ability to work both independently and as part of a team.

Education:

Juris Doctor (JD) degree from an accredited law school.

Certifications:

Admission to the California State Bar.

Skills:

Proficiency in legal research and writing.

Strong negotiation and drafting skills.

Deep understanding of corporate and securities law, particularly as it relates to emerging companies and venture capital.

Ability to analyze complex legal issues and provide strategic advice.

High level of professionalism and ethical standards.

Strong organizational and time-management skills.
