Job Overview:A law firm in Palo Alto is seeking an experienced ECVC (Emerging Companies and Venture Capital) Associate Attorney with 5-7 years of relevant experience. The ideal candidate will have a robust background in providing legal support to emerging companies and venture capitalists, with a strong focus on transactions, corporate governance, and venture capital financing.Key Responsibilities:Transactional Support:Draft, review, and negotiate various contracts, including stock purchase agreements, shareholder agreements, and investor rights agreements.Lead and manage venture capital financing transactions from start to finish.Advise clients on mergers and acquisitions, joint ventures, and other corporate transactions.Corporate Governance:Provide counsel on corporate governance matters, including board and stockholder meetings, corporate policies, and compliance issues.Prepare and review corporate documents such as bylaws, operating agreements, and partnership agreements.Offer strategic advice to emerging companies regarding formation, capitalization, and equity compensation.Counsel venture capital clients on investment structures, exit strategies, and portfolio company management.Provide day-to-day legal advice to clients in various industries, ensuring compliance with relevant laws and regulations.Conduct and oversee due diligence investigations concerning financings and other corporate transactions.Identify and address potential legal risks and liabilities during transactions.Collaborate with partners, other associates, and paralegals to deliver high-quality legal services to clients.Mentor and guide junior associates and legal staff, fostering a collaborative and learning environment.Requirements:Experience:5-7 years of experience as an associate attorney in the ECVC practice area, focusing on venture capital financings, mergers and acquisitions, and corporate governance.Education:Juris Doctor (JD) degree from an accredited law school.Active membership in the California State Bar.Certifications:Certification in corporate law or a related field is optional.Skills:Legal Acumen:Strong corporate and securities law knowledge, with the ability to interpret and apply legal principles to complex business scenarios.Excellent drafting and negotiation skills with meticulous attention to detail.Communication:Superior written and verbal communication skills, with the ability to effectively interact with clients, opposing counsel, and colleagues.Analytical Thinking:Strong analytical and problem-solving abilities, identifying legal issues and developing practical solutions.Time Management:Ability to manage multiple transactions and projects simultaneously, with high efficiency and accuracy.Client Relationship Management:Proven track record of building and maintaining strong client relationships with a client-first mentality.
