A law firm in San Diego, CA, seeks an experienced ECVC Associate Attorney with 5-7 years of experience in emerging companies and venture capital (ECVC). The successful candidate will work closely with partners and clients to provide legal counsel on various issues related to ECVC. The role requires a deep understanding of the legal complexities surrounding startups, venture capital, and emerging companies and the ability to manage multiple projects in a fast-paced environment.Key Responsibilities:

Provide legal advice and support to startups and emerging companies on entity formation, corporate governance, and financing matters.Draft, review, and negotiate complex venture capital financing agreements, including term sheets, stock purchase agreements, and investor rights agreements.Assist in structuring and executing emerging companies' mergers, acquisitions, and other strategic transactions.Counsel clients on compliance with federal and state securities laws and regulations, including private placements and public offerings.Represent clients in negotiations with venture capital firms, angel investors, and other stakeholders.Advise on intellectual property matters, including IP strategy, licensing agreements, and protection of proprietary technologies.Conduct due diligence for venture capital investments and other corporate transactions.Collaborate with partners, clients, and other attorneys to develop and implement innovative legal strategies that support client business objectives.Maintain up-to-date knowledge of legal trends and developments in ECVC and related fields.Participate in business development activities, including networking events, client meetings, and industry conferences.Requirements:

Juris Doctor (JD) degree from an accredited law school.Active membership in the California State Bar.5-7 years of experience in ECVC, with a strong background in corporate law, venture capital, and emerging companies.Demonstrated experience drafting and negotiating venture capital financing agreements and handling complex corporate transactions.Proven ability to manage multiple clients and projects in a fast-paced legal environment.Skills:

Strong analytical and problem-solving skills with the ability to think strategically and provide practical legal solutions.Excellent written and verbal communication skills, with the ability to explain complex legal concepts to clients clearly and concisely.High attention to detail and strong organizational skills, with the ability to manage competing priorities and deadlines.Ability to work collaboratively in a team environment and build strong relationships with clients, partners, and colleagues.Proficiency in legal research tools and technology, including contract management systems and databases.Strong business acumen and understanding of the startup ecosystem and venture capital industry.Certifications:

Certified Specialist in Corporate Law, preferred.Additional certifications in securities law or intellectual property law are a plus.Education:

A Juris Doctor (JD) degree from an accredited law school is required.Additional coursework or certifications in venture capital, corporate law, or intellectual property law are preferred.
