Job Overview:

A law firm in Los Angeles, CA, is seeking an experienced ECVC Associate Attorney with 5-7 years of experience. The ideal candidate will have a strong background in emerging companies and venture capital (ECVC) and demonstrate expertise in advising startups, venture capitalists, and growth-stage companies. This role requires a dynamic, self-motivated attorney who can work in a fast-paced environment and provide top-tier legal services to a diverse client base.Job Responsibilities:Provide legal advice and counsel to startups, venture capital firms, and growth-stage companies in the ECVC sector.Draft, review, and negotiate various agreements, including financing documents, stock purchase agreements, shareholder agreements, and other related documents.Advise clients on corporate governance issues, including board composition, fiduciary duties, and equity compensation plans.Manage all aspects of venture capital financing transactions, from initial term sheets through closing.Conduct due diligence and manage the legal aspects of mergers, acquisitions, and other corporate transactions.Collaborate with other attorneys within the firm to provide comprehensive legal solutions tailored to client's needs in the technology and startup sectors.Stay current with developments in ECVC law and ensure clients are informed of relevant legal and regulatory changes.Develop and maintain strong client relationships, acting as a trusted advisor on legal and business issues.Mentor and supervise junior attorneys and legal staff, fostering a collaborative and inclusive work environment.Participate in business development activities, including networking, speaking engagements, and contributing to industry publications.Job Requirements:Minimum of 5-7 years of experience as an ECVC attorney in a law firm or in-house legal department.Proven track record advising startups, venture capitalists, and growth-stage companies.Extensive experience drafting and negotiating complex legal documents related to venture capital financing and corporate transactions.Strong understanding of corporate governance principles and issues.Excellent negotiation, communication, and interpersonal skills.Ability to manage multiple priorities in a fast-paced, deadline-driven environment.Strong analytical and problem-solving skills with meticulous attention to detail.Education & Certifications:Juris Doctor (J.D.) from an accredited law school.Admission to the California Bar in good standing.Certifications or additional coursework in venture capital, corporate finance, or related fields are a plus.Skills:Expertise in ECVC law, with a strong foundation in corporate governance and transactional work.Proficiency in legal research and the ability to interpret complex legal documents.Excellent written and verbal communication skills, with the ability to articulate complex legal concepts to clients.Strong client relationship management skills, focusing on delivering high-quality legal services.Leadership and mentoring skills, with the ability to guide junior attorneys and support staff.Business acumen, with the ability to understand clients’ business goals and provide legal advice that aligns with those goals.Proficiency in legal technology and tools used for document management, research, and client communication.
