ECVC Associate Attorney

A law firm in Washington, DC, seeks a highly skilled and motivated ECVC (Emerging Companies and Venture Capital) Associate Attorney with 5-7 years of experience. The successful candidate will be vital in advising emerging companies and venture capital clients, handling complex transactions, and providing strategic legal guidance to foster business growth and innovation.Duties:Provide legal counsel to emerging companies and venture capital firms on various issues, including company formation, financing, mergers and acquisitions, and corporate governance.Draft, review, and negotiate complex contracts, including investment agreements, term sheets, and commercial contracts.Conduct due diligence and prepare legal analyses for venture capital investments and business transactions.Assist clients with compliance issues, regulatory requirements, and intellectual property matters.Represent clients in negotiations and disputes with investors, partners, and other stakeholders.Develop and maintain strong relationships with clients, understanding their business goals and providing tailored legal solutions.Stay updated on industry trends, legal developments, and market conditions to provide proactive advice and strategic insights.Mentor junior attorneys and support staff, contributing to the professional growth and development of the team.Requirements:Juris Doctor (JD) degree from an accredited law school.Admission to the Bar in Washington, DC.5-7 years of experience in ECVC law, with a proven track record in handling complex transactions and advising emerging companies and venture capital clients.Strong understanding of corporate finance, business law, and regulatory frameworks relevant to emerging companies and venture capital.Education:JD degree from an accredited law school.Certifications:Active Bar membership in Washington, DC.Skills:Exceptional legal research and analytical skills.Proficiency in drafting and negotiating complex legal documents.Strong communication and interpersonal skills, with the ability to build and maintain client relationships.Ability to work independently and as part of a team in a fast-paced environment.Excellent organizational skills with attention to detail and effective management of multiple priorities.Knowledge of industry trends, legal developments, and market conditions affecting emerging companies and venture capital.
