Job Summary/General Purpose of JobProvides advice and counsel to the Association's staff on legal issues to ensure compliance with federal, state, and local law and Association policy and business procedures in order to mitigate or prevent legal exposure and enhance/maintain the Association's reputation and good standing. Functions as a subject matter expert in area or areas as assigned by the General Counsel.Essential Job Functions and Responsibilities (listed in order of importance and/or time spent)Provides legal advice and counsel to Association staff. Conducts legal research, provides legal analysis, and prepares written opinions and other documents as required in a broad range of legal practice areas. Provides legal assessment on risk of liability to the Association to minimize legal exposure.Drafts new or reviews and edits contracts for goods and services to ensure that the providers perform in compliance with the law and Association policies and procedures. May negotiate with external service providers regarding revised terms and conditions. Approves/Disapproves proposed contracts based upon his/her review.Supports assigned business units within the Association for all legal advice and counsel needs. Support may be aligned with a specialized practice area, contract law, and/or general practice.Performs other related duties as required.Required Education, Qualifications, ExperiencePossession of a Juris Doctorate degree from an ABA-accredited law school.Member in good standing in possession of an active license to practice law in the State of Illinois or Washington D.C.At least two years’ experience as a practicing attorney, utilizing legal education, experience, legal precedents, and general business knowledge in the analysis, construction, presentation, and defense of positions and cases.Preferred Education, Qualifications, ExperienceAt least two years contract development, review, preparation of counter offers, and interpretation of contracts with external service providers or other business entities.At least two years’ experience as a practicing attorney in a private law firm or as corporate counsel.Physical RequirementsTypical office work environment.Extent of Travel Required in the JobAs a normal course of business, this job will typically require travel of up to 5% of the time.
