A law firm in Roseland, NJ, is seeking a skilled Corporate M&A Attorney with 2+ years of experience in mergers and acquisitions (M&A) transactions, corporate governance, and related areas. The ideal candidate will be instrumental in advising clients on diverse M&A transactions, ensuring compliance with relevant laws, and providing strategic legal counsel throughout the transaction lifecycle. This role involves drafting and negotiating agreements, managing transaction documents, and collaborating closely with clients and internal teams.Duties:Provide expert legal advice and counsel on a wide range of corporate and commercial matters, including M&A transactions, business formations, governance, compliance, and contracts.Offer legal support throughout the entire transaction lifecycle, from initial due diligence to post-closing integration.Draft, review, and negotiate M&A-related agreements, such as purchase agreements, shareholder agreements, and merger agreements.Oversee and manage transaction documents and agreements, ensuring comprehensive and accurate record-keeping of all legal documents and correspondence.Collaborate with clients to understand their strategic objectives and provide legal advice aligned with their business goals.Work closely with internal teams and partners to deliver comprehensive legal services and support to clients.Maintain up-to-date knowledge of relevant laws and regulations impacting M&A transactions and corporate governance.Requirements:Juris Doctor (J.D.) degree from an accredited law school.Bar admission in New Jersey; admission to the New York Bar is a plus.2+ years of experience in M&A transactions, corporate governance, or related legal areas.Excellent negotiation, drafting, and communication skills.Strong interpersonal skills with the ability to build and maintain strong client relationships.Proficiency in Microsoft Office and various accounting and document management software.Job Location:Roseland, NJBenefits Offered:Competitive Salary & Comprehensive Benefits Package.Ongoing Opportunities for Professional Growth and Development.Collaborative and Supportive Work Environment.Recognition and Celebration of Individual Contributions.Opportunity to Make a Substantial Impact Within the Firm.
