This position involves drafting and negotiating contracts, advising on mergers and acquisitions, business entity governance, and structuring commercial and finance transactions. The ideal candidate will have a strong business, tax, commercial transactions, or finance background and be committed to developing a successful legal practice within a law firm environment.Duties:Draft and negotiate mergers, acquisitions, and other contracts.Advise clients on mergers and acquisitions, business entity governance matters, and the choice and restructuring of business entities.Assist in due diligence efforts and post-deal integration processes.Structure and draft documents for commercial and finance transactions.Maintain a current working knowledge of relevant laws and regulatory developments.Work effectively both independently and as part of a team.Manage and prioritize multiple projects and deadlines.Requirements:Juris Doctor (JD) degree from an accredited law school.Licensed or eligible to attain licensure to practice law in Ohio.Minimum of 5 years of experience in a law firm or in-house legal department.Background or experience in business, tax, commercial transactions, lending, finance, or accounting is preferred.Demonstrated ability to draft, research, and write effectively.Strong analytical skills and attention to detail.Ability to work collaboratively with staff, attorneys at all levels, and firm clients.Interest in pursuing a long-term career within a law firm environment, focusing on developing a successful practice and a book of business over time.Education:JD degree from an accredited institution.Certifications:Must be licensed or able to obtain a license to practice law in Ohio.Skills:Proficient in drafting and negotiating legal documents.Strong research and writing skills.Excellent analytical and problem-solving abilities.Ability to manage multiple projects efficiently.Strong interpersonal skills and the ability to work well with clients and team members.
