A law firm in Hartford, CT, is seeking a Tax Attorney at the senior associate or counsel level with a minimum of 7 years of experience. The ideal candidate should have a strong background in counseling exempt organizations, including private foundations and public charities, on various tax-related matters. This role involves providing expert legal guidance on organizational structure and formation, charitable gift planning, transactional issues, and unrelated business taxable income strategy and planning. The candidate is also expected to have extensive experience in tax structuring, the formation of business entities, registration with tax and regulatory agencies, and the drafting and revising of operating agreements and other governance documents. Additionally, the role includes serving as corporate counsel to nonprofit organization clients and representing exempt organizations in legal matters before various authorities, including the Office of the Attorney General, the Internal Revenue Service, the Department of Revenue Services, and the Probate Courts. The ideal candidate should also be well-versed in advising on the structure and tax-related issues associated with venture philanthropy collaborations, donor-advised funds, private foundations, and corporations.Duties:Provide comprehensive legal counsel to exempt organizations, including private foundations and public charities, on matters related to structure, formation, charitable gift planning, transactional issues, and unrelated business taxable income strategy and planning.Engage in tax structuring and the formation of business entities, including registration with tax and regulatory agencies.Draft and revise operating agreements and other governance documents for nonprofit organizations.Serve as corporate counsel to nonprofit clients, offering guidance on various legal matters.Represent exempt organization clients in legal matters before regulatory authorities such as the Office of the Attorney General, Internal Revenue Service, Department of Revenue Services, Probate Courts, and other relevant entities.Provide expert advice on the structure and tax-related aspects of venture philanthropy collaborations, donor-advised funds, private foundations, and corporations.Requirements:A minimum of 7 years of relevant legal experience.Expertise in counseling exempt organizations, private foundations, and public charities.Strong academic credentials and excellent writing and analytical skills.Prior experience in a large law firm or equivalent setting.Active membership in the Connecticut Bar.Education:Juris Doctor (J.D.) degree from an accredited law school.Certifications:Active membership in the Connecticut Bar.Skills:Extensive experience in tax-related matters, especially as they pertain to exempt organizations.Strong legal research and analytical skills.Excellent drafting and revising of legal documents, including operating agreements and governance documents.Exceptional communication and interpersonal skills.Ability to serve as corporate counsel and represent clients before regulatory authorities.Expertise in venture philanthropy collaborations, donor-advised funds, and tax-related issues.
