Title : Corporate CounselLocation : Naples/Bonita Springs, FLJob Summary : We are in search of an experienced Corporate Counsel to join our team. This role involves managing contractual relationships with partners, overseeing contract creation and review, and handling various corporate legal matters. As a key member of our Senior Management, the Corporate Counsel will play a crucial role in developing, negotiating, and executing transactional documents and agreements for a range of clients within an expanding international specialty utility organization. This position offers exposure to diverse commercial and corporate transactions, both independently and collaboratively within the executive team.Key Responsibilities
Review, draft, and negotiate a diverse array of contracts, focusing on the Energy Market and binding agreements, including Power Purchase Agreements (PPA), Energy Service Agreements (ESA), and more.Provide support to senior staff in complex transactions such as M&A, SEC Securities, and Bonds, particularly with experience in public companies.Collaborate closely with legal and business teams, as well as various departments, to achieve strategic objectives.Conduct legal and factual research, data analysis, and reporting as needed.Ensure compliance with legal and operational requirements for the Company’s market partners.Utilize contract management software for agreement management, legal and compliance due diligence, and related tasks.Identify and evaluate legal and business risks to the Company.Communicate relevant information to business leaders and executives, upholding document and data security and confidentiality.Interpret and apply Company policies, procedures, and processes effectively.Perform other duties as assigned by senior attorneys and executives.Desired Qualifications
Juris Doctorate degree from an ABA accredited law school and licensed to practice law in at least one US jurisdiction.Minimum of 10 years' experience as a practicing attorney.Strong legal, analytical, and negotiation skills.Excellent communication, project management, and organizational skills.Ability to build and maintain positive relationships with internal and external partners.Capacity to identify and address client and colleague needs in complex situations.Comfortable working in a dynamic, fast-paced environment and managing multiple tasks with minimal supervision.Knowledge of the Utility/Energy industry.Proficiency in Microsoft Office tools.Critical attention to detail.Benefits
