The Company designs, develops, constructs, and operates biogas powered renewable energy generation systems on dairy farms. Our projects include anaerobic digesters, biogas-powered electric generation, and renewable natural gas upgrading.Position DescriptionMaas Energy Works (MEW) is seeking a highly skilled Corporate Counsel to join our legal team. Reporting directly to the General Counsel, this role will provide comprehensive legal support across various functions of the company’s renewable energy initiatives. The ideal candidate will have a strong legal background in one of the following: real estate, corporate governance, land use, and commercial transactions, and a preference for working in-house.As Corporate Counsel, you will be responsible for contract negotiations, regulatory compliance, land acquisition, and corporate governance matters. Your expertise will help ensure the company’s renewable energy projects comply with legal and regulatory requirements while supporting the strategic goals of the business. This role is ideal for an attorney licensed in California who is passionate about renewable energy and is looking to advance their career in an in-house legal environment.ResponsibilitiesProvide legal advice and counsel on a broad range of corporate, commercial, and regulatory matters, with a particular focus on real estate, corporate governance, land use, and commercial transactions.Manage and negotiate contracts for renewable energy projects, including power purchase agreements (PPAs), real estate transactions, and land use agreements.Ensure compliance with federal, state, and local environmental laws, including those relevant to renewable energy projects such as the California Environmental Quality Act (CEQA), Clean Air Act, and Clean Water Act.Oversee corporate governance matters, including maintaining corporate records, advising on board matters, and ensuring compliance with internal policies and regulatory requirements.Assist in land acquisition and development processes, including zoning, permitting, and land use matters related to renewable energy projects.Handle commercial transactions related to project development, including financing agreements, joint ventures, and partnerships.Work cross-functionally with project development, engineering, finance, and regulatory teams to ensure the legal integrity of projects from inception through execution.Provide legal support for mergers, acquisitions, and strategic initiatives, including due diligence and negotiation of transaction documents.Stay informed on evolving laws, regulations, and industry standards affecting renewable energy, ensuring the company remains compliant and proactive in its legal strategy.Represent the company in negotiations with external parties, regulatory agencies, and stakeholders, protecting the company’s interests in all transactions.Qualifications & SkillsJuris Doctor (JD) from an accredited law school.Active membership with the California Bar (required).5+ years of legal experience, with expertise in at least some of the following areas: real estate, corporate governance, land use, and commercial transactions.Strong understanding of contract law and regulatory compliance, particularly in the context of renewable energy and environmental projects.Experience working with PPAs, project finance, and real estate matters related to energy projects preferred.Excellent analytical, communication, and negotiation skills.Ability to work independently, manage multiple priorities, and collaborate with cross-functional teams.Desire to work in-house.
