The Role

As Moxion’s Corporate Counsel you will provide legal advice and support related to corporate governance, business operations, transactions, contracts, and compliance. The ideal candidate will have a strong background in corporate law and experience working with companies undergoing high growth. This role reports to the top lawyer at Moxion who reports directly to the CEO.

What you’ll do:

Support on a broad range of corporate matters, including governance initiatives, strategic transactions, securities compliance, and other corporate matters.Support a broad range of corporate governance matters, including drafting and implementing policies, Board engagement, and advising on all things related to Moxion’s governance structure.Support and lead on entity management, equity compensation, and other corporate-related matters related to Moxion’s domestic expansion efforts.Support on strategic transactions, including M&A, fundraising, and other transactions.Lead on and develop processes for scaling legal support for general corporate matters, including securities law compliance, subsidiary management, and equity matters.Provide legal advice and guidance on other aspects of the company's operations, including employment law, intellectual property and occasionally real estate matters.Collaborate with cross-functional teams, including finance, operations, and business development, to ensure legal compliance and risk management in all areas of the business including Supply Chain and Manufacturing.Skills to be successful:

Juris Doctor degree from an accredited law school including a license or qualification to practice in CaliforniaExperience at fast-paced technology company and/or technology-focused law firm (bonus if you have experience in the Clean Tech or Renewable Energy industry)Knowledge of venture capital financings, mergers and acquisitions, due diligence, and deal structuring.
