Job Description:

Under the direction of either the General Counsel or a Division Director, this position will provide high-level legal counsel on a variety of legal matters for Intermountain Healthcare, its employees, and its subsidiaries. The position will typically have responsibility within one or more legal department subject matter areas.

Position Details:

The incumbent for this role will work Monday-Friday, during regular business hours. Although this position can work remotely at times, incumbent will work out of the Key Bank Tower 1-2 days per week.

Job Essentials:

Provide advanced level legal counsel, advice and management to the Intermountain Ventures team and other enterprise-level shared services.

Provide advanced level legal counsel, advice and management on high-profile regulatory, operations and transaction matters, including negotiating investments in venture capital funds, private equity funds, hedge funds, and real estate funds; merger and acquisition transactions; and venture capital financings.

Identify, manage and mitigate legal risks relating to operations and transactions.

Develops and delivers legal training on regulatory and legal risks, along with mitigation strategies.

Provide advanced level legal advice and counsel on a variety of subjects including general securities law compliance, corporate governance issues, general corporate matters, strategic partnerships and affiliations, joint ventures, innovation, and intellectual property.

Minimum Qualifications:

Must have a Juris Doctor degree from an ABA accredited law school and have a license to practice law in the State of Utah. Degree must be obtained through an accredited institution. Education is verified.

Strong written and verbal communication skills and experience working collaboratively with various stakeholders in the organization (e.g., management, senior attorneys, physicians, compliance, hospital administrators, health plan personnel).

Experience using word processing, spreadsheet, database, internet, e-mail and scheduling applications.

Extensive experience in advising public and large private companies, as well as emerging and closely held businesses in various industries, including healthcare.

Extensive experience in preparing and negotiating complex corporate transactional agreements and instruments for public and private financings (both equity and debt), mergers, acquisitions, divestitures, joint ventures, strategic alliances, and other partnerships.

Extensive experience in corporate governance matters, and in advising companies, funds, and foundations with respect to making investments in private equity, venture capital, and hedge funds.

Preferred Qualifications:

High-level experience or demonstrated ability managing legal work for entrepreneurs and emerging growth companies on business formation and founders’ issues, operations, and transactions.

High-level experience or demonstrated ability managing legal work for national, complex, and highly matrixed healthcare companies on healthcare regulatory compliance, antitrust, and tax matters.

Experience working as a Partner in a law firm advising institutional investors, emerging companies, and strategic acquirers in various industries.

The hourly range for this position is listed below. Actual hourly rate dependent upon experience.

$86.97 - $134.23
