Oil-Dri’s Legal Team is a dynamic group of attorneys who work collaboratively with cross-functional teams across the company advising and counseling on a wide variety of matters. The attorneys pride themselves on being valued thought partners of the business units and offering practical and responsive advice to help achieve the company’s strategic initiatives in Oil-Dri’s long-term best interest. As a member of the Legal Team, the Corporate Counsel will be responsible for a broad range of matters, including securities compliance, mergers and acquisitions, finance transactions, commercial contracts, corporate governance, policy development, and risk management matters. The Corporate Counsel will work closely with other members of the Legal Team as well as the Company’s business units and functional departments, including Accounting, Finance, Investor Relations, Regulatory, Operations, Procurement, Human Resources, and Information Systems.A successful candidate will have the ability to work closely with our internal legal team and with cross-functional teams to support Oil-Dri’s rapidly evolving business environment. The candidate will also possess the ability to manage a diverse workload, provide strategic, business-friendly, and practical legal advice. The role is a unique opportunity to build upon prior experience as well as gain exposure to new areas of law in a collaborative team environment.Responsibilities:Drafting and advice in connection with federal securities laws and corporate governance matters, including Securities and Exchange Commission filings, corporate disclosures, international foreign entity maintenance, Board of Directors and Committee materials, and Section 16 compliance.Collaborate and assist with the drafting of public disclosures and SEC filings, including leading the proxy statement drafting process and assisting with Forms 10-K, 10-Q, and 8-K.Assist with disclosure and governance matters related to environmental, social, and governance ("ESG") topics.Support mergers and acquisitions activity and finance transactions.Negotiation, drafting, review, and advice in connection with business contracts and other transactional matters.Advise the business with respect to product labeling and other marketing materials.Drafting and advice in connection with corporate policies and procedures, as well as client education initiatives.Negotiation, drafting, and advice in connection with employee benefit plan compliance matters.Other related functions in accordance with the Legal Department’s workload.Qualifications:Juris Doctor from an accredited U.S. law school; strong undergraduate and law school credentials.Admission to the Illinois Bar.At least five years’ experience either in a law firm or an in-house legal department.Knowledge of and experience with securities regulations, corporate governance, and business transactions.Strong communication skills (written and oral); ability to operate effectively within a small department with a limited outside legal budget.Ability to self-learn and work in a team environment.Strong work ethic with a high level of attention to detail and strong personal integrity.Based in Chicago, IL with a hybrid work environment: in office on Monday - Wednesday, with remote work most Thursday – Friday.
