Function:

Provides guidance and support on legal matters related to financial documents, transactions, policies, and procedures at the direction of the Bank’s General Counsel to employees, shareholders, and customers.Duties and Responsibilities:Possesses a strong general corporate experience involving regulated financial institutions, including experience advising such institutions on corporate governance matters.Understands, analyzes, and applies laws and regulations associated with a multi-state banking entity.Advises on SEC matters, regulations regarding Fair Disclosure, insider trading guidelines, executive level compensation matters, and shareholder concerns, including proxy materials.Other areas where the Senior Counsel will likely become involved include risk management, consumer and commercial banking, wealth management/trust, compliance, contracts, employment law, real estate law, vendor management, and intellectual property.Drafts, reviews and negotiates agreements, contracts, and other legal documents.Ensures contract terms and conditions address primary business risk areas, such as indemnification, limitations of liability, and contract compliance, are addressed in the best interest of the Bank.Provides guidance to business partners on the development of Service Level Agreements and ensures meaningful remedies and recourse are included in all contracts.Serves as lead negotiator and/or relationship manager with vendors as assigned on contracts.Provides legal analysis in connection with the development of innovative product solutions and user interface enhancements and assists with the implementation of new products and key strategic projects.Collaborates with business teams and legal/compliance colleagues and other control functions to address and resolve complex issues, develop policies, procedures, and training materials to advance the business objectives in a compliant manner.Instructs and liaises with external counsel, as required, on transactional and bespoke product matters, including review and analysis of legal opinions.Advises the businesses on key legal/regulatory issues.Assists in managing litigation, handles writs and subpoenas.Prepares bank regulatory applications and notices and other regulatory filings, including those attendant to expansionary activities, investments, and dissolutions.Possesses and demonstrates knowledge of commercial banking services and products, including familiarity with treasury and merchant services, electronic financial transactions and the payments industry and laws and regulations applicable thereto, including cybersecurity and privacy. Experience with, or demonstrated interest in, digital products/services, online and mobile banking, emerging payments technology, and/or technology transactions a plus.Other duties as assigned.Physical Demands:Requires the use of manual dexterity skills for typing and data entry for a period of up to 60% of the business day. Specific vision requirements include close vision of 18”-20” for computer work. Must be able to lift, move, and/or carry up to 20lbs.
