Purpose:
The Corporate Development department supports the Companys growth, primarily through the analysis and acquisition of other insurance companies and blocks of business. The Senior Director is involved in all phases of a transaction process, from initial target identification through bidding, structuring, pricing, contract negotiation and closing. The person in this role will perform diligence, underwriting, pricing evaluation, review of other analytical models, and the management of active and prospective M&A and reinsurance transactions.
Accountabilities:
+ Support all phases of a transaction process, from initial target identification through bidding, contract negotiation, closing and post-close refresh
+ Develop and /or Support Development of pricing models for each proposed transaction, including due diligence of liability projections, development of capital projections, reflection of asset strategy and other related deal model components
+ Analyze due diligence materials including Actuarial appraisals, Confidential Information memoranda, policy forms, Cash Flow Testing memoranda, and insurance liability cash flows; Reconcile modeled reserves and assets backing reserves and bridge adjusted net worth from actuarial appraisals to source financial statements
+ Lead the preparation of internal deal documents such as the Transaction Memorandum and materials for the management approval process (Large Case Approval Committee)
+ Drive the documentation of internal controls and develop and implement policies and procedures to promote more rigorous transaction review; Support other process improvements which help to improve quality and effectiveness of Corporate Development deliverables
+ Manage projects with appropriate oversight, collaborate with other business units, and maintain third party business relationships
+ Research and be able to summarize and explain actuarial concepts and regulations; Stay abreast of capital market and insurance industry activities and trends.
+ Stay informed of proposed and newly implemented actuarial guidelines, relevant accounting pronouncements, risk-based capital factors, and other key issues which could impact deal valuation
+ Work collaboratively with peers and manage or mentor less experienced staff and peer review team work product
+ Maintain appropriate levels of confidentiality
+ Some travel will be required
Qualifications and Experience:
+ 8+ years of experience in the life insurance or reinsurance industry or investment banking background with significant experience in the financial services / insurance sector
+ Ideal candidate will have significant experience with Life and Annuity financial planning and analysis, budgeting, financial modeling, and/or accounting/financial reporting, with mastery of U.S. Statutory, Tax, Bermuda Statutory and U.S. GAAP accounting regimes
+ Preferred designations are FSA, CPA or similar designation
+ Bachelors degree in Mathematics, Finance or related field
+ Strong attention to detail and the ability to prioritize and manage several projects
+ Demonstrated leadership qualities and strong written and verbal communication skills
+ Advanced user of Microsoft Excel, with the ability to embed good organization and high levels of flexibility and auditability in large projects
+ Exhibit dedication to completing tasks thoroughly and on time, including under time pressures and outside normal working hours
+ Ability to view big picture, understand broad corporate impacts, and focus on company objectives
$171,840.00 - $257,760.00 USD Annual
Annual Salary for this role is market competitive. Actual salary for all roles will be based upon geographic location, work experience, education, licensure requirements and/or skill level and will be finalized at the time of offer. Depending on the role, a discretionary bonus plan or variable sales incentive may be included.
