A law firm in Florham Park, NJ, is seeking a Corporate Associate Attorney - Finance to join their team. The ideal candidate will possess 4-6 years of experience in corporate finance, including work with financial institutions and borrowers on commercial finance transactions. The role requires significant expertise in drafting loan, security, and intercreditor documents, advising on covenant compliance, and managing due diligence teams. The successful candidate will have excellent writing skills, superior academic credentials, and the ability to manage multiple assignments with minimal supervision.Duties and ResponsibilitiesDraft and negotiate loan, security, intercreditor, and related documents for corporate finance transactions.Advise clients on covenant compliance and ensure adherence to financial agreements.Lead due diligence teams, managing the review and analysis of financial documentation.Oversee and coordinate the work of specialists involved in transaction processes.Provide expert legal advice on commercial finance transactions, including loan originations and real estate financings.Collaborate with clients, financial institutions, and other stakeholders to facilitate successful transaction execution.Maintain high standards of document accuracy and compliance with legal and regulatory requirements.Handle multiple assignments efficiently, delivering high-quality results with minimal supervision.Requirements4-6 years of experience in corporate finance, with a focus on commercial finance transactions involving financial institutions and borrowers.Proven experience drafting loan, security, and intercreditor documents, and advising on covenant compliance.Excellent academic credentials, including a JD from an accredited law school.Strong writing skills and meticulous attention to detail.Ability to manage multiple projects simultaneously and deliver high-quality outcomes with minimal supervision.Superior analytical and problem-solving abilities.EducationJuris Doctor (JD) degree from an accredited law school.Bachelor’s degree in Finance, Accounting, or a related field is preferred.CertificationsAdmission to the New Jersey Bar (or eligibility to obtain admission).Certification or specialization in finance or commercial transactions is preferred but not required.SkillsIn-depth knowledge of corporate finance, loan agreements, and financial documentation.Advanced drafting, negotiation, and analytical skills.Effective leadership and management of due diligence teams.Proficiency in legal research tools and financial software.Excellent communication and interpersonal skills.Benefits OfferedProductivity and discretionary bonuses.Comprehensive life, health, accident, and disability insurance.401(k) plan with firm contributions.
