A law firm in Chicago, IL, is seeking a Corporate Associate Attorney - Finance to join their dynamic team. The ideal candidate will have 4-6 years of experience in corporate finance, specializing in commercial finance transactions. This role requires expertise in drafting loan, security, and intercreditor documents, advising on covenant compliance, leading due diligence teams, and managing specialists. The successful candidate will possess excellent writing skills, superior academic credentials, and the ability to manage multiple assignments independently.Duties and ResponsibilitiesDraft, negotiate, and review loan, security, intercreditor, and related documents for corporate finance transactions.Provide strategic legal advice on covenant compliance to ensure alignment with financial agreements and regulatory requirements.Lead and manage due diligence teams, overseeing the thorough review and analysis of financial documentation.Supervise and coordinate specialists involved in transaction processes, including financial analysts and paralegals.Collaborate with clients, financial institutions, and other stakeholders to facilitate and close complex transactions.Ensure accuracy and compliance in all legal documentation and transaction processes.Manage multiple projects efficiently, delivering high-quality results with minimal supervision.Address and resolve complex legal issues related to commercial finance and real estate financings.Requirements4-6 years of experience in corporate finance, with a focus on commercial finance transactions, including loan originations and real estate financings.Proven experience in drafting loan, security, and intercreditor documents, and advising on covenant compliance.Strong academic background, including a JD from an accredited law school.Excellent writing skills with exceptional attention to detail.Demonstrated ability to manage multiple assignments and projects independently.Advanced analytical and problem-solving skills.EducationJuris Doctor (JD) degree from an accredited law school.Bachelor’s degree in Finance, Accounting, or a related field preferred.CertificationsAdmission to the Illinois Bar (or eligibility to obtain admission).Certification or specialization in finance or commercial transactions preferred but not required.SkillsIn-depth understanding of corporate finance, loan agreements, and related documentation.Expertise in drafting and negotiating complex legal documents.Strong leadership and team management skills.Proficiency in legal research tools and financial software.Excellent communication, interpersonal, and organizational abilities.Benefits OfferedProductivity and discretionary bonuses.Comprehensive life, health, accident, and disability insurance.401(k) plan with firm contributions.
