Job Summary Of The Senior Corporate Counsel

The Senior Corporate Counsel will report directly to the Deputy General Counsel on all matters and is intended to be the back-up and potential successor to the General Counsel. A primary focus of the Director, Corporate Counsel will be to provide legal advice on a broad range of commercial matters, including contract drafting and negotiation, risk assessment and management, and regulatory compliance. The attorney may also provide advice and support for M&A and finance projects, and in support of other departmental or Company priorities and needs. The Director, Senior Corporate Counsel will interface daily with in-house colleagues and senior business executives in the context of providing legal advice.Requirements Of The Senior Corporate Counsel

J.D. from ABA accredited law school.Minimum 10 years of legal expertise working on wide range of commercial transactions (e.g., SaaS, IP licensing, software licensing, product resale and distribution, working with contractors, outsourcing, facilities, etc.).Experience managing a large volume of contracts, including maintaining metrics.Experience working with medical device, life science companies is highly preferred.Experience with International Distribution (e.g., international distribution agreements and ancillary documentation) including any other areas to support Company’s international growth strategy.Experience in other areas of in-house counsel expertise, such as employment, ethics and compliance, product support, privacy and security, and M&A.Experience managing outside counsel, including providing oversight to litigation matters.Intellectual Property experience or expertise is preferred, but not required. Strong legal research skills.Strong work ethic: willingness to learn new skills and acquire new departmental experiences.Excellent written and oral communication skills.Proactive and able to function effectively in environment of rapidly changing demands.Ability to work independently with minimal supervision.Responsibilities Of The Senior Corporate Counsel

The specific duties of the Senior Corporate Counsel include but are not limited to:Alignment and dedicated support to leadership directly and working with other various stakeholders (attorneys, contract managers, finance, deal management, business units, etc.) to further Axogen’s business with our partners/customers.Flexibility to adapt and thrive in an environment that is constantly expanding and changing as Axogen grows its business, learn more about our customers, and figure out what works best and what doesn’t.Provide expert, valued advice and counsel to Axogen’s sales teams, business units, and other stakeholders on go-to-market strategy, current and potential legal and commercial issues, industry specific knowledge, and transactional guidance.Draft, review, and negotiate a broad range of commercial agreements, and assist, manage, and lead other attorneys and contract managers to do the same, including cloud/software-as-a-service, software/IT licensing, professional services, and data privacy.Negotiate data processing agreements, and related privacy documents including a working knowledge of GDPR as it relates to commercial contracts.Keep abreast of and proactively address changing regulations, industry and market trends, and technology, and effectively work with a variety of business, finance and legal stakeholders to develop and implement resulting practices that support innovation and growth while maintaining appropriate protections and safeguards for Axogen.Develop various enablement and training materials for Axogen stakeholders, including sales/business units, channels partners and end customers, focusing on the specific industry standards, trends, and developments.Drive and/or assist with various legal department projects that support the legal department goals as well as efforts to develop, implement and enhance processes that improve transaction and contracting velocity and scaling without material increases in risk.Review advertising and marketing materials to ensure that they are in compliance with legal requirements, if applicable.Performs all other related duties as assigned.Location

This position is eligible for an annual bonus. $159,135 — $198,919 USDAxogen is on a hybrid work schedule for some of our positions based out of our headquarters in Florida, with 3 days in office and 2 days remote. The hybrid work schedule does not include sales or facilities in Ohio or Texas.Axogen follows healthcare system guidelines with respect to credentialing, vaccinations and other employment/compliance related requirements, as well as CDC guidance.
