The ideal candidate will have a robust background in business transactions and entity documentation, including M&A transactions, entity structure and organization, and issues related to tax-exempt entities. The role requires experience working both independently and collaboratively with internal and external counsel on sophisticated transactional matters. A portable business or ongoing client relationships are preferred. The successful candidate will demonstrate strong attention to detail, exceptional drafting skills, and effective negotiation abilities while maintaining a congenial demeanor with clients, colleagues, and opposing counsel.Duties and Responsibilities:Lead and manage complex business and corporate transactions, including mergers and acquisitions, entity formation, and joint ventures.Structure and execute transactions, providing strategic advice on entity organization and tax-exempt entity issues.Draft, review, and negotiate entity formation documents, operating agreements, partnership agreements, and other joint venture agreements.Collaborate effectively with internal teams and external counsel, ensuring seamless execution of transactions and adherence to client objectives.Develop and maintain client relationships, leveraging portable business and ongoing client engagements.Oversee and manage multiple matters simultaneously, demonstrating strong organizational and time management skills.Provide legal expertise and advice on entity structures, governance, and compliance.Negotiate effectively on behalf of clients, while maintaining a professional and congenial approach with opposing counsel and colleagues.Requirements:Extensive experience in business and corporate transactions, including M&A, entity formation, and tax-exempt entity issues.Demonstrated ability to work independently and collegially with both internal and external counsel.Proven track record of structuring transactions and drafting complex business documents.Portable business or established client relationships preferred.Ability to manage multiple matters efficiently and with attention to detail.Strong negotiation skills, with the ability to advocate effectively for clients while maintaining professional rapport.Education:JD degree from an accredited law school.Strong academic credentials with a record of academic excellence.Certifications:Admission to the Bar in the state of Maryland.Skills:Expertise in business transactions, entity documentation, and tax-exempt entities.Exceptional drafting, negotiation, and organizational skills.Ability to manage and prioritize multiple transactions and client matters.Strong attention to detail and analytical skills.Proven interpersonal skills, with the ability to work effectively with clients, colleagues, and opposing counsel.
